Results Assurance Agreement

Effective Date: January 1, 2025

This Results Assurance Agreement (“Agreement”) governs the services provided by Majestic Digital Marketing Agency (“Agency,” “we,” “us,” or “our”) and defines the conditions under which a refund of management fees may apply.

By engaging the Agency’s services, the client (“Client,” “you,” or “your”) agrees to all terms below.


1. Scope of Services

Majestic Digital Marketing Agency provides marketing and growth services intended to generate inbound opportunities for approved legal practice areas and approved geographic service regions.

Services may include, but are not limited to:

  • Campaign strategy, setup, and management
  • Local visibility optimization
  • High-intent traffic generation
  • Conversion and intake optimization support
  • Performance monitoring and optimization

The specific scope of services is defined in the Client’s proposal, agreement, or statement of work.

2. Fees & Payment Structure

2.1 System Activation Fee (Non-Refundable)

The Client agrees to pay a one-time System Activation Fee.

The System Activation Fee is non-refundable under all circumstances.

This fee covers front-loaded, non-recoverable work performed immediately upon engagement, including but not limited to:

  • Market and demand validation
  • Practice area and geographic strategy
  • Tracking installation and configuration
  • Campaign architecture and infrastructure build
  • Conversion path configuration
  • Intake alignment and system activation

Because this work is performed regardless of performance and produces immediate, tangible value, the System Activation Fee is not subject to the Results Assurance Guarantee.

2.2 Management Fees (Refundable Subject to Compliance)

Management Fees apply to the ongoing execution, optimization, and management of campaigns.

Only Management Fees are eligible for refund, and only under the specific conditions outlined in Section 8 of this Agreement.

Advertising spend, third-party software costs, platform fees, and external expenses are not refundable.

3. Eligibility for Results Assurance Guarantee

The Results Assurance Guarantee applies only to Clients approved through the Agency’s eligibility and onboarding process.

Eligibility requires that the Client:

  • Operates in a market with demonstrable search demand
  • Offers legally permissible services
  • Is approved for a specific practice area and service region
  • Provides all required access, assets, and approvals promptly

Eligibility is determined solely by Majestic Digital Marketing Agency. Failure to maintain eligibility voids the guarantee.

4. Definitions

4.1 Qualified Opportunity

A Qualified Opportunity is defined as:

  • A phone call, form submission, or direct message
  • From a real individual (not spam, bots, or automated traffic)
  • Located within the approved service area
  • Seeking services within the approved practice area
  • Demonstrating reasonable intent to consult with or hire legal counsel
  • Successfully delivered into the Client’s intake system

The following are explicitly excluded and shall not be counted as Qualified Opportunities:

  • Spam, robocalls, test calls, or automated inquiries
  • Leads outside the approved practice area or service region
  • Existing clients or repeat callers already in the Client’s CRM
  • Calls not answered live and not returned within five (5) minutes during stated business hours
  • Leads lost, rejected, or mishandled due to Client-side intake failures

4.2 Campaign Activation Date

The “Campaign Activation Date” is the date on which all required assets, access, approvals, tracking, and infrastructure are fully implemented and campaigns are live.

The 90-day guarantee period begins on the Campaign Activation Date.

4.3 Management Fees

“Management Fees” refer exclusively to fees paid to Majestic Digital Marketing Agency for ongoing campaign management services and exclude:

  • System Activation Fees
  • Advertising spend
  • Third-party tools or platforms
  • External or pass-through costs

5. Client Intake & Response Requirements (Material Condition)

Client intake performance is a material condition of this Agreement.

To remain eligible for the Results Assurance Guarantee, the Client must meet all intake requirements below.

5.1 Call Response Time

  • All inbound calls must be answered live or returned within five (5) minutes during stated business hours
  • Any inbound call not returned within five (5) minutes shall not be counted as a Qualified Opportunity

5.2 Intake Coverage

  • Client must maintain intake coverage during agreed business hours

5.3 Intake Conduct

  • Client staff must make reasonable, good-faith efforts to qualify and book inquiries
  • Leads may not be ignored, delayed, or intentionally disqualified

Automatic missed-call SMS follow-ups are recommended but not required.

Failure to meet intake requirements voids the Results Assurance Guarantee.

6. Tracking & Attribution Requirements

Client agrees to allow and maintain:

  • Call tracking numbers
  • Tracking for form submissions and messages
  • Basic attribution of inbound inquiries

Tracking systems must remain active and unaltered throughout the guarantee period. Disabling, modifying, or interfering with tracking voids the guarantee.

7. Client Compliance Obligations

To remain eligible for the Results Assurance Guarantee, Client must:

  • Provide required approvals and assets in a timely manner
  • Use Agency-approved landing pages, CTAs, and routing
  • Maintain agreed pricing, services, and service areas
  • Avoid material changes without written Agency approval
  • Not pause, restrict, or interfere with campaigns

Any material deviation voids the guarantee.

8. Results Assurance Guarantee

8.1 Guarantee Statement

If Client remains fully compliant with this Agreement and follows the Agency’s system without deviation, Majestic Digital Marketing Agency guarantees that the system will generate a minimum of ten (10) Qualified Opportunities within the first ninety (90) days following the Campaign Activation Date.

8.2 Refund Remedy

If, at the conclusion of the 90-day period:

  • The minimum Qualified Opportunity threshold has not been met, and
  • All compliance requirements have been fully satisfied,

the Client shall be entitled to:

  • A full refund of Management Fees paid

Refunds:

  • Do not include the System Activation Fee
  • Do not include advertising spend or third-party costs
  • Shall be issued within ten (10) business days
  • Constitute the Client’s sole and exclusive remedy

9. Guarantee Exclusions

The Results Assurance Guarantee is void if any of the following occur:

  • Intake response times are not met
  • Leads are mishandled or ignored
  • Tracking is disabled or altered
  • Required approvals are delayed
  • Scope, pricing, or service areas are materially changed
  • Campaigns are paused or interrupted
  • Client operates outside approved parameters

10. Limitation of Guarantee

This Agreement does not guarantee:

  • Revenue
  • Signed clients
  • Case outcomes
  • Settlements or judgments

The guarantee applies solely to the generation of Qualified Opportunities.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Agency liability is limited to Management Fees paid
  • Agency shall not be liable for indirect, incidental, or consequential damages

12. Good Faith & System Integrity

This Agreement is based on good-faith execution by both parties. The Results Assurance Guarantee exists to remove risk for compliant clients and does not apply to failures caused by Client-side operations, intake, or deviations.

13. Acceptance of Terms

By engaging services with Majestic Digital Marketing Agency, Client acknowledges and agrees to these Terms & Conditions in full.

Follow the system. We assume the risk.
